1. About the Service Provider
Rundit Oy (Finnish company ID 2781307-9) offers founders and investors an online reporting tool for the purposes of communication and the sharing of information, key metrics and data.
2. Changes to the Service
Rundit shall have the right to make changes to the Services in the form of introducing new features or improvements to the Services.
Rundit shall also have the right to make such changes to the Services, which solely concern the technical environment without impacting the actual content of the Services.
Additionally, Rundit shall always have the right to make changes that are needed due to security reasons or required by law or authorities.
3. Service Breaks
Rundit retains the right to stop the Services at any time due to maintenance work, or due to a security risk, or if required to do so by law or authorities.
Any breaks due to maintenance work or updates will be aimed to with carried out with minimal disturbance to Customers.
Rundit will inform customers about such breaks beforehand, if it is possible.
4. Intellectual Property Rights
The Services are provided as SaaS Services. All intellectual property rights to the Services, including but not limited to software, technology, text and graphics and any modifications, derivations or adaptations thereof shall be vested in and remain as the sole property of Rundit or its licensors or partners with all rights reserved.
No license or other rights, including intellectual property rights or distribution rights to the software, technology, trademarks, inventions, data, graphics, or other intellectual rights regarding the Services are transferred to the Customer.
Subject to Customer’s compliance with these Terms of Service, Rundit grants Customer a personal, limited, non-exclusive, non-transferable and revocable right to use the Services for the duration of Customer’s subscription.
The Customer retains ownership of and all other rights to all data uploaded to the Service by the Customer (“Customer Data”) and no rights of the Customer are transferred to Rundit under this agreement. Rundit shall have no rights to the Customer Data and Rundit shall not, unless it is required to do so in order to provide Services, access, monitor, control, add, modify or remove any Customer Data that may be generated, processed or transferred in connection with Services. Rundit shall comply with the Customer’s instructions regarding any use of the Customer Data.
5. Rundit’s Responsibilities
Rundit shall be compliant with GDPR laws, financial regulations and guidelines.
6. Customer’s Responsibilities
Customer shall be responsible for using the Services in accordance with the law and good industry practices. Customer warrants that it shall use the Services in good faith and in accordance with all applicable data privacy and industry-specific legislation.
Customer shall be responsible for the provision of accurate, authentic and valid information and data via the Services, and liable for the accuracy, authenticity and validity of any and all such information and data shared thereof. Customer shall be responsible for keeping their information up-to-date.
Customer shall not engage in an attempt to reverse engineer, data mine, decompile or in any other way invade the underlying structures, source code or algorithms of the Services. Customer shall not attempt to bypass or breach any feature, security function or protection used by the Services. Customer shall not access or use the Services with false credentials.
Customer shall be liable for compensating Rundit for any direct costs, losses and damages caused by the Customer due to a breach of the Customer’s obligations hereunder. The total aggregated liability of the Customer shall in all cases be limited to the services fees paid by the Customer hereunder during the preceding 6 months period.
The Services may be used to share or receive confidential information, metrics, files, documents, data, or other materials.
Customer shall keep in confidence all such material and information received via the Services, which is either marked confidential or which should be understood as confidential due to its nature, and may not use such information or materials for purposes other than what they have been intended for.
8. Limitation of Liability
Under no circumstances shall Rundit be liable to Customer or any third party for any indirect, consequential or punitive damages, such as loss of business, loss of goodwill, loss of profit or loss of data.
Rundit explicitly disclaims all liability for the information or data shared between Customers via the platform and the validity, credibility or authenticity of any such content thereof.
To the extent that the Services contain links or integrate with third party websites or services, no responsibility or liability for the content of such websites or services shall be accepted.
The total aggregate liability of Rundit against the Customer shall in all cases be limited to the services fees paid by the customer hereunder during the preceding 2 months’ period, or 500 euros, whichever is smaller.
9. Terms and Terminations
For monthly plans, unless otherwise agreed, the subscription shall continue in force until further notice with a notice time of one month.
For annual plans, the Services will be provided for a period of twelve calendar months, unless agreed otherwise in writing by the Customer and Rundit. Upon completion of the initial and subsequent twelve month subscription periods, the subscription will be renewed for a further period of twelve months for the existing fees (“autorenewal”), unless: (i) the Agreement is terminated thirty (30) days prior to the renewal date by Rundit or by the Customer; (ii) Rundit decides, in its sole discretion, not to offer the Customer autorenewal and notifies the Customer of such decision; or (iii) Rundit offers to renew the subscription at revised fees.
10. Upgrading and Downgrading
For any upgrade and downgrade in plan level, will result in the new rate being charged at the next billing cycle. There will be no prorating for downgrades in between billing cycles. Downgrading your Service may cause the loss of features or capacity of your account.
11. Changes to these Terms of Service
Rundit reserves the right to make changes to these Terms of Service at any time. A prior notification to Customers will be made in case the changes are substantial.
12. Applicable law and Dispute resolution
This agreement shall be governed by the laws of Finland, excluding its choice of law provisions.
Any dispute, controversy or claim arising out of or relating to this agreement, or the breach, termination or validity thereof shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finnish Central Chamber of Commerce. The language of the proceedings shall be English. The arbitration shall be conducted in Helsinki, Finland.
